Welcome to Thempo ("we," "our," or "us"). These Terms and Conditions govern your access to and use of our website, AI valuation engines, databases, API endpoints, and other services (collectively, the "Platform").
By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not access or use the Platform.
2. Description of Services
Thempo provides users with digital database lookup and artificial intelligence-based pricing estimations for luxury watches. By evaluating public listings, historical sales records, and parameters such as brand, reference, condition, and dial color, Thempo models generate predicted market values.
We reserve the right to modify, suspend, or terminate the Platform or any tool, feature, pricing tier, or data index at any time without notice and without liability to you.
3. AI Valuation Disclaimer
Estimations provided by Thempo are generated by machine learning models and are not certified, official, tax, legal, or insurance appraisals. We do not physically inspect any timepiece.
Valuations represent historical market predictions and are subjective. Actual transaction values vary based on buyer preference, geographic location, seller-buyer relationship, original packaging, certificates, and unique watch conditions that cannot be fully evaluated by software.
Thempo is not a financial advisor, watch broker, or appraiser. Valuations are for entertainment and informational use only. You must not buy, sell, trade, or insure any timepiece based solely on Thempo valuations. We recommend consulting a certified independent appraiser or authorized dealer before completing any transaction.
4. Brand Non-Affiliation
Thempo is an **independent platform** and brand. We are not authorized, sponsored, endorsed, associated, or affiliated in any way with any luxury watch manufacturers, brand owners, or designers, including but not limited to:

5. User Accounts & Security
To access specific platform valuation history or advanced filters, you may need to register an account. You agree to:
- Provide truthful, current, and complete details during registration.
- Safeguard your password and account access tokens.
- Accept full responsibility for all activities occurring under your account credentials.
- Notify us immediately at support@thempo.com if you suspect unauthorized access or security breaches.
6. Acceptable Use & Restrictions
You are granted a limited, personal, non-transferable, revocable license to access the Platform. You must not engage in any of the following:
- Automated data extraction (scraping, crawling, harvesting, or spidering) of our databases or valuation outputs.
- Using Thempo valuations or indices to compile competitive pricing databases or to train machine learning models.
- Circumventing or attempting to bypass rate limits, CAPTCHA tests, or platform security layers.
- Using the Platform for any unlawful, fraudulent, or malicious purposes.
7. User Content & AI Training License
The Platform allows you to upload, submit, store, or send content, including watch metadata, images, photographs of timepieces, search queries, and messages/transcripts of your chats with our AI agents (collectively, "User Content").
By uploading, submitting, or sharing User Content on or through the Platform, you grant Thempo a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to host, store, copy, reproduce, modify, adapt, distribute, and display your User Content.
You explicitly acknowledge and agree that Thempo may use your User Content—including chat history, conversation transcripts, uploaded watch photos, search terms, and metadata—to train, test, refine, tune, and improve our machine learning models, database price estimation algorithms, computer vision systems, and other artificial intelligence technologies.
You represent and warrant that you own or have the necessary rights and permissions to grant this license for all User Content you upload, and that its use by Thempo will not infringe any third-party intellectual property or privacy rights.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Thempo, its founders, directors, employees, partners, or licensing agents be liable for:
- Any indirect, incidental, special, consequential, or punitive damages (including loss of profits, investment capital, financial losses, or loss of goodwill).
- Errors, omissions, inaccuracies, or delays in valuation metrics, historical graphs, or listing data.
- Decisions made or actions taken by you or any third party in reliance on valuation estimations.
- The mechanical integrity, authenticity, or legal status of any timepiece listed or queried on the Platform.
In no event shall Thempo's total aggregate liability for all claims exceeding the amount paid by you to Thempo in the twelve (12) months preceding the event giving rise to the liability.
9. Indemnification
You agree to defend, indemnify, and hold harmless Thempo, its builders, partners, and employees from and against any claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising from your violation of these Terms, misuse of the Platform, or infringement of third-party rights.
10. Governing Law & Arbitration
These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, United States, without regard to conflict of laws principles.
MANDATORY INDIVIDUAL ARBITRATION: Any dispute or claim arising out of these Terms or the Platform shall be resolved exclusively through final and binding arbitration in Wilmington, Delaware, conducted under JAMS or AAA rules. You and Thempo waive any rights to resolve disputes in court or to participate in class-action lawsuits.
